Small Cap RegistrationArizona Relevant Statute: A completion of the Forms U-1, U-2, U-2A and U-7 are needed to register securities in the State of Arizona. If Form U-7 is to be used, issuers must meet the criterion of the Arizona Securities Law regarding their eligibility requirements. Dealer Requirements: Dealers must be registered with the State of Arizona by completing the Form U-4 and the payment of a $100 registration fee. Registrants must also offer proof of the passage of the Series 63 Exam. The Securities Commissioner has the authority to waive the examination requirements and usually does so if the applicant has had prior experience in securities. Dealers should not consider themselves as registered until a letter of effective registration has been received from the Arizona Commissioner. Registration Fees for Securities: For registration by description or by qualification issuers must pay a fee of 1/10th of 1% of the aggregate offering price of the security.
