Delaware

Dealer Requirements: Dealers are required to register with the state. Written examination needed. Waiver to exam is possible if the person was; A member of the NY or American Stock Exchange, member of the National Association of Securities Dealers, two year experience as an investment advisor, earned a masters degree or higher in investment analysis, or is a certified financial assistant, prior passage (75%) of examination administered by the Investment Advisors by the Securities Commission.

Filing Fees: Every $10,000 incremental addition to the securities offered in the Delaware means a $50 fee increase in the fee. Every $5,000 incremental addition means a $25 fee increase. The ceiling price is $1,000, the floor price is $200. For indefinite or unlimited securities, the fee is $1,000.

Relevant Statute:

Forms: Delaware does not recognize SCOR, but does have a private placement exemption through the D1 Form.

Instructions: The proper filing should include the following steps:
1.) A photocopy of Federal Form D as filed with the SEC
2.) A completion of the U-2 Form
3.) A Delaware D-1 Form.
