Dealer Requirements: An officer or director can sell if there is no direct remuneration for the sale. If there will be a commission accepted than the dealer must be registered with the state.

Filing Fees: 1/20 of 1% of the maximum aggregate offerings. Minimum charge $250.

Official Recognition: Does not accept SCOR offerings, but will accept a filing of Form U-7.

Forms: Request Form 8S (Document and Disclosure Checklist Limited Offerings
Registration). This form will give steps to take for registration of limited offerings securities.
