Dealer Requirements: Dealers must be registered with the state. Exemptions are allowed if the dealer is registered in another state and will be selling securities to no more than five persons in the State of Nevada.

Filing Fees: A filing fee in the form of a check to the Secretary of State in the amount of 1/10 of 1% of the aggregate offering price registered in Nevada. The minimum fee shall be $350 and the maximum fee shall be $2,500.

Forms: Forms U-1, U-2 and U-7 needed to complete registration.

Instructions: The amount of dilution in an offering must not exceed 75% of the aggregate offering price. The company must have an equity of not less than $50,000 or 5 percent of the aggregate offering price, whichever is less.
